Terms of Service

1. Acceptance of Terms

By accessing or using the OptimalCentral platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including visitors, registered users, and subscribers.

OptimalCentral is owned and operated by Optimal Inc. ("Optimal," "we," "us," or "our") and is available at optimalcentral.com. We reserve the right to update these Terms at any time; continued use of the Service after changes are posted constitutes acceptance.

2. Description of Service

OptimalCentral provides a SaaS platform for Amazon sellers: a suite of tools covering listing optimization and AI-search readiness (including the Alexa Readiness Score), advertising audits, profit and operations analytics, keyword rank and competitor monitoring, and AI listing copy generation. Certain features can also, with your explicit authorization, access data from your Amazon account through Amazon's APIs, as described in our Privacy Policy. Subject to the approval rules in Section 14, some features can submit changes back to your Amazon account: advertising changes, a listing fix you approved field by field, and a price you approved in the Repricer for a single SKU.

The Service is intended for use by Amazon sellers operating in the United States. Access requires a valid account and, where applicable, an active paid subscription.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

You must be at least 18 years old to create an account. By registering, you represent that you meet this requirement and have the authority to bind any organization on whose behalf you are using the Service.

4. Free Trial

We may offer a free trial period (currently 14 days) upon sign-up. No payment method is required and no charge is made during the trial. At the end of the trial, access to paid features pauses until you subscribe to a paid plan; you will not be charged unless you subscribe. Trial eligibility is limited to one per person or business entity.

5. Subscriptions and Billing

Paid subscriptions are billed on a monthly or annual basis in advance. All fees are in US dollars and are non-refundable except as expressly stated in these Terms or required by law.

Payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method for all fees associated with your subscription. If a payment fails, we may suspend your access until payment is resolved.

We reserve the right to change pricing with at least 30 days' advance notice. Price changes will take effect at your next billing cycle.

5.1 Reimbursement success fee

The Reimbursement Finder is subject to an additional success fee of 10% of amounts actually reimbursed to you by Amazon, and nothing otherwise. A reimbursement is counted toward the fee only when it matches a claim that you marked as filed in the Service before the reimbursement was issued; reimbursements Amazon issues on its own, and claims you file outside the Service, are never counted. The fee is calculated on the amount Amazon actually credits (cash or inventory value as reported by Amazon), not on our estimates.

Success fees are invoiced monthly through Stripe as a separate invoice payable within 14 days. We never charge success fees automatically to a stored payment method. Your Reimbursements page shows the same recovery ledger we bill from. If you believe a fee was attributed in error, contact support within 30 days of the invoice date; fees we agree were misattributed are corrected by credit note. You can stop using the Reimbursement Finder at any time; fees accrued on recoveries from claims you filed through the Service remain payable.

6. Cancellation and Refunds

You may cancel your subscription at any time from your account settings or by contacting support. Cancellation takes effect at the end of your current billing period; you will retain access until that date. We do not provide prorated refunds for unused time on monthly plans. Annual subscribers who cancel within 14 days of a renewal charge may request a full refund for that renewal.

Cancelling ends billing but leaves your account and its history in place. If you also want your data removed, delete your account as described in Section 13.

7. Acceptable Use

You agree not to:

  • Use the Service in violation of any applicable law or Amazon's terms of service
  • Scrape, reverse engineer, or attempt to extract the underlying algorithms or data models
  • Share your account credentials with unauthorized third parties
  • Use the Service to generate content that is false, misleading, or deceptive
  • Introduce malware, viruses, or other harmful code into the Service
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

8. Intellectual Property

All content, features, and functionality of the Service — including the Alexa Readiness Score methodology, software, design, text, and graphics — are owned by or licensed to OptimalCentral and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

You retain ownership of any data you provide to us (your Amazon listing content, ASINs, etc.). By using the Service, you grant us a limited, non-exclusive license to access and process that data solely to provide the Service to you. For details on how we handle your data, see our Privacy Policy.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that results from using the Service will meet your expectations.

OptimalCentral is not affiliated with, endorsed by, or sponsored by Amazon. Alexa for Shopping rankings and results are determined solely by Amazon and may change at any time.

10. Limitation of Liability

To the maximum extent permitted by law, OptimalCentral shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you in the 12 months preceding the claim, or (b) $100.

11. Indemnification

You agree to indemnify and hold harmless OptimalCentral and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Termination

We may terminate or suspend your account at any time for violation of these Terms, non-payment, or at our sole discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections covering intellectual property, disclaimer of warranties, limitation of liability, and governing law survive termination.

You may terminate at any time by deleting your account from your account settings. Deletion is immediate and irreversible: it cancels any active subscription and permanently removes your account and the data associated with it. See Section 5 of our Privacy Policy for what is deleted and when.

14. Automated Changes to Your Amazon Account

If you connect an Amazon account, certain features can submit changes back to it. There are three kinds, and they are governed by different rules, so they are described separately below. Everything we submit takes effect in your live account.

14.1 Changes to your Amazon advertising account

If you connect your Amazon Ads account, certain features can submit changes back to that account — for example adjusting keyword bids or campaign budgets, adding negative keywords, or pausing and resuming campaigns. These changes can affect your advertising spend and results. The following rules govern them:

  • You approve each change. Except as described in the next bullet, our automation produces proposals only. Nothing is written to your advertising account until you review a proposal and approve it item by item. You may edit the proposed values before approving, and proposals you do not act on expire.
  • Scheduled advertising rules require a separate, explicit authorization. Some advertising rules — such as day-parting, which by nature must act at a specific hour — run unattended only after you have expressly authorized that specific rule configuration. The authorization is recorded against the exact configuration you approved and is void the moment that configuration changes; the rule reverts to preview-only until you authorize it again. This bullet applies to advertising rules only. It does not apply to prices, and there is no equivalent authorization for a price: see Section 14.3.
  • Limits apply. Rules operate within the bid floors and ceilings you set, a cap on the number of items changed in a single run, and a daily cap on total changes.
  • You can stop it at any time. Pausing a rule takes effect immediately, and disconnecting your Amazon Ads account freezes every rule and prevents any further writes.
  • Audit trail. Every change we submit is recorded in your account in enough detail to review or reverse it.

14.2 Changes to your listing content

If you connect your Amazon selling account, the Listing Fix feature can submit corrected listing text — a title, bullet points, a description or similar catalog attributes — back to that account. Nothing is submitted until you have reviewed the proposed text and approved it field by field; approving one field is not approval of another. There is no scheduled or unattended listing write. Every submitted change is logged together with the value it replaced, so it can be reviewed and rolled back.

14.3 Changes to your prices

If you connect your Amazon selling account and enable the Repricer for a SKU, we can submit a new selling price for that SKU. A price change moves money: it changes what your buyers pay and what you earn on every unit sold until it is changed again. It is therefore governed by stricter rules than any other change we make:

  • Every price is approved individually, and only ever by you. We propose a specific number for one SKU in one marketplace, and nothing is submitted until you approve that exact number for that exact SKU. There is no bulk approval, no standing authorization, and no scheduled or unattended job that can change a price. The authorization described in Section 14.1 does not extend to prices and cannot be used to make a price change unattended.
  • Your floor and ceiling bind us. You set a minimum and a maximum price per SKU. A proposal outside those bounds is not submitted, and it is not quietly adjusted to fit — we show you the number we calculated and change nothing.
  • A stale approval is refused, not executed. Immediately before submitting, we re-read the live price on Amazon and re-read your current rule. If the live price has moved since you saw the proposal, if you have since tightened your floor or ceiling, or if you have since switched the rule off, we do not submit. The later instruction wins.
  • You can stop it at any time. Disabling a rule takes effect immediately, and disconnecting your Amazon selling account prevents any further price writes.
  • Audit trail and rollback. Every price we submit is recorded together with the price that was live before it, so you can see exactly what changed and restore the previous price.

14.4 Terms common to all three

You remain responsible for the advertising, listing and pricing decisions made in your account, including reviewing proposals before you approve them. We do not guarantee any advertising, sales or profitability outcome, and a price we propose is a calculation from the inputs and limits you configured, not advice about what to charge. We are not liable for changes that Amazon rejects, modifies, or delays, or for the results of changes you have approved; Section 10 (Limitation of Liability) applies to this Section.
